  1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to iClinic the first Telemedicine Platform in the Republic of Cyprus (“the Platform,” “we,” “our,” or “us”). The Platform provides users (“you,” “your,” or “User”) access to telemedicine services, enabling you to consult licensed healthcare professionals remotely via video, audio, and text-based communication. These Terms of Use (“Terms”) govern your use of the Platform and constitute a legally binding agreement between you and iClinic.

By accessing, registering with, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must refrain from using the Platform. Please read these Terms carefully and consult them regularly, as they may be updated from time to time.

 

  1. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

  • Platform: Refers to the [Telemedicine Platform Name] web application, including any related websites, mobile applications, and services provided by [Telemedicine Platform Name] for facilitating telemedicine consultations between healthcare providers and users.
  • User: Any individual who accesses or uses the Platform, including patients, visitors, and healthcare providers.
  • Healthcare Provider: A licensed medical professional, such as a doctor, nurse, therapist, or other healthcare practitioner, who provides telemedicine services to Users through the Platform.
  • Telemedicine Services: The range of remote healthcare services available to Users via the Platform, including, but not limited to, consultations, advice, and follow-up care provided through audio, video, or text-based communication.
  • Consultation Fee: A one-time fee charged for each individual consultation with a Healthcare Provider on the Platform. [Telemedicine Platform Name] does not operate on a subscription basis, and Users are billed per consultation.
  • Health Information: Any information provided by Users during a consultation or through the Platform, including medical history, symptoms, test results, diagnoses, and any other data relevant to the delivery of healthcare services.
  • Personal Data: Information that can be used to identify an individual, either alone or in combination with other information. This may include names, contact details, and any data provided by Users during account registration or when using the Platform.
  • Business Account: A type of account created by an employer, company, or organization (“Business”) for the purpose of registering employees or authorized individuals (“Authorized Users”) to access Telemedicine Services on the Platform. Business Accounts are managed by the respective Business and may include specific terms agreed upon by [Telemedicine Platform Name] and the Business.
  • Business: Any company, organization, or employer that registers one or more employees or Authorized Users to access the Platform and Telemedicine Services for healthcare or wellness purposes.
  • Authorized User: An individual who has been granted access to the Platform and its Telemedicine Services by a Business through a Business Account. Authorized Users include employees and other individuals designated by the Business.
  • Terms: Refers to these Terms and Conditions, which govern the use of the Platform by Users, Authorized Users, and Healthcare Providers.
  • You or Your: Refers to the User or Authorized User of the Platform, including any individual using the Platform to access telemedicine services.

 

  1. Eligibility and Account Requirements

To use iClinic, you must meet the following eligibility criteria and adhere to the specified account requirements:

3.1 Eligibility

Minimum Age: You must be at least 18 years of age to use the Platform independently. Minors may only access services under the supervision of a parent or legal guardian who agrees to these Terms on their behalf.

Location: Access to the Platform and its services may be limited by geographic location based on applicable laws and healthcare regulations. It is your responsibility to confirm that using telemedicine services is legally permitted in your location. iClinic Platform and its services are NOT AVAILABLE TO USERS IN THE UNITED STATES. Some Platform services are only available to users located in the Republic of Cyprus.

3.2 Account Registration

Account Creation: To access certain features and benefits on the Platform, including viewing past consultations and booking consultations with the healthcare providers in advance, you may be required to create an account. During registration, you must provide accurate, complete, and current information, including valid contact details, and maintain the confidentiality of your account credentials.

Account Responsibility: You are responsible for all activities that occur under your account. If you suspect unauthorized access or activity, you agree to notify support@iClinic.com.cy immediately.

Authorized Business Accounts: If your account is registered through a Business Account by an employer, company, or organization, you are designated as an Authorized User and agree to use the Platform in accordance with both these Terms and any specific terms agreed upon by your employer or sponsoring organization.

3.3 Use Without an Account

Guest Access: The Platform may allow individuals to access certain telemedicine services without creating an account (“Guest Access”). Guest Access users may be subject to limited features, including the inability to make advance bookings with the healthcare professionals or access past consultations.

Responsibilities for Guest Access Users: If you access the Platform via Guest Access, you are still bound by these Terms and responsible for providing accurate information to Healthcare Providers. You understand that certain Platform functionalities may not be available to Guest Access users, including secure messaging and data storage.

3.4 Account Termination and Suspension

iClinic reserves the right to suspend or terminate your account or access to the Platform if you violate these Terms or engage in unauthorized, illegal, or harmful activities. In cases of termination, you may lose access to any past consultation records stored on the Platform.

By accessing or using the Platform, either with or without an account, you agree to comply with these eligibility and account requirements.

 

  1. Description of Services

iClinic (“the Platform”) offers a range of telemedicine services to facilitate remote consultations and healthcare support. These services include the following:

4.1 Video Consultations

  • The Platform provides one-on-one video consultations between Users and licensed Healthcare Providers, allowing Users to discuss symptoms, receive professional advice, and inquire about general health matters.
  • Video consultations are intended for non-emergency situations. In case of an emergency or life-threatening condition, you must seek immediate in-person medical assistance from emergency services.

4.2 Live Messaging for Notes and Prescriptions

  • During and after video consultations, Users and Healthcare Providers can communicate through secure live messaging for the exchange of important notes and instructions related to treatment, follow-up care, or health advice.
  • Healthcare Providers may also use the live messaging feature to issue prescriptions when appropriate and allowed by applicable laws and regulations.
  • Prescription Limitations: The Platform may not support the prescription of controlled substances, narcotics, or medications subject to stringent regulatory restrictions. Users should consult with their Healthcare Providers to understand prescription limitations on the Platform.

4.3 Service Limitations

  • No Health Records: The Platform does not store or maintain long-term medical records. Any information shared during consultations or via live messaging is available only temporarily and is not retained as part of a continuous health record.
  • Scope of Services: The Platform’s telemedicine services are intended for general healthcare inquiries, routine consultations, and non-emergency care only. Certain conditions or symptoms may require in-person evaluation, testing, or follow-up care outside the Platform. Healthcare Providers may refer you to other services or recommend in-person care when necessary.
  • Geographic Restrictions: The availability of telemedicine services may vary based on your location and relevant healthcare regulations.

 

  1. Use of Services and User Obligations

By accessing and the Platform, you agree to comply with these Terms and Conditions and adhere to the following obligations:

5.1 Acceptable Use of the Platform

  • Permissible Use: You agree to use the Platform solely for personal healthcare purposes and in accordance with all applicable laws and regulations. The Platform is intended for non-emergency situations; for emergencies, you must seek immediate in-person medical assistance.
  • Prohibited Actions: You agree not to misuse the Platform in any manner. Prohibited actions include, but are not limited to:
    • Illegal or Fraudulent Activities: Engaging in any illegal, harmful, or fraudulent activities while using the Platform.
    • Providing False Information: Supplying false, inaccurate, or misleading information during consultations or in any interactions with Healthcare Providers.
    • Unauthorized Access: Attempting to gain unauthorized access to the Platform, accounts, or systems, including hacking, password mining, or any other unauthorized means.
    • Indecency and Inappropriate Conduct: Using the Platform or any of its features, including video consultations and messaging, to engage in indecent, inappropriate, or offensive behavior, including but not limited to nudity, lewd gestures, sexually explicit language, or harassment.
    • Harassment and Abuse: Using the Platform’s communication features to harass, threaten, abuse, or stalk any Healthcare Provider, User, or personnel associated with the Platform.
    • Non-Healthcare-Related Use: Misusing the Platform or its services for any purpose unrelated to legitimate healthcare inquiries, treatment, or advice.

          5.2 Accurate Information

  • User Responsibility: You agree to provide complete, accurate, and current information when using the Platform, particularly during consultations or in-home care services. This includes medical history, symptoms, and other relevant details that may impact the quality of care.
  • Notification of Changes: You are responsible for promptly updating any information provided on the Platform if it becomes inaccurate or outdated, including personal contact details or health-related information relevant to your care.

5.3 Compliance with Healthcare Instructions

  • Following Medical Advice: You agree to follow the instructions, advice, or treatment plans provided by Healthcare Providers through the Platform. Any failure to adhere to prescribed medical instructions or treatment plans is solely at your own risk.
  • Seeking Further Care: You acknowledge that certain conditions may require in-person evaluation or additional treatment outside of the Platform’s capabilities. You agree to seek further medical assistance when recommended by a Healthcare Provider on the Platform.

5.4 Financial Responsibility

  • Consultation Fees and Service Costs: You agree to pay any applicable fees associated with your use of the Platform’s services, including but not limited to consultation fees, in-home care fees, and ambulance service costs, as they become due.
  • Third-Party Costs: The Platform may facilitate certain healthcare-related services, such as ambulance dispatch, which may involve third-party providers. You agree to assume financial responsibility for any charges incurred from such third-party services unless otherwise specified.

5.5 User Conduct During Video Consultations and In-Home Services

  • Respectful Interaction: You agree to interact respectfully with Healthcare Providers and any in-home care personnel. Any abusive, inappropriate, indecent, or disruptive behaviour may result in the termination of your consultation or service and potential suspension of your account.
  • Environment for In-Home Care: For in-home healthcare services, you agree to provide a safe, clean, and accessible environment for healthcare personnel to deliver care. Failure to maintain a safe environment may result in the service being cancelled or terminated.

 

        5.6 Responsibility for Minors and Authorized Users

  • Minors: If you are a parent or legal guardian accessing the Platform on behalf of a minor, you are responsible for ensuring that the minor complies with these Terms and that their information is accurate.
  • Authorized Users: If you are accessing the Platform as an Authorized User under a Business Account, you agree to use the Platform in compliance with both these Terms and any specific policies set by your employer or sponsoring organization.

 

  1. Medical Disclaimers

The telemedicine services provided through iClinic’s Platform are intended to support, not replace, in-person medical care. By using the Platform, you acknowledge and agree to the following disclaimers:

6.1 No Emergency Services

  • The Platform is not primarily intended for use in medical emergencies or urgent life-threatening situations. If you experience a medical emergency, you are strongly encouraged to contact local emergency services directly or visit the nearest emergency facility.
  • Ambulance Dispatch Services: The Platform offers an ambulance dispatch service that can be arranged either by the user or  by Healthcare Providers when deemed necessary and appropriate. However, the availability and response time of ambulance services depend on local resources and external third-party providers and may not guarantee immediate assistance.
  • Limitations: While the Platform’s ambulance dispatch service provides emergency response support, it is not a substitute for directly contacting local emergency services (e.g., 116). Users agree to independently seek direct emergency assistance in life-threatening situations where immediate intervention is required.

6.2 General Health Information and Limited Scope

  • The medical information provided on the Platform, whether during consultations, through messaging, or in-home care services, is for general healthcare support and informational purposes only.
  • The Platform’s Healthcare Providers offer advice based on the information provided by you. This advice may be limited by the inability to conduct a physical examination, certain diagnostic testing, or a full medical history review. Users are responsible for providing complete, accurate, and honest information to Healthcare Providers during consultations.

6.3 No Guarantee of Diagnosis or Outcomes

  • Any diagnosis, treatment plan, or advice provided by Healthcare Providers on the Platform is based on limited information and remote assessments, which may affect the accuracy of the diagnosis and treatment recommendations. The Platform and its Healthcare Providers do not guarantee specific outcomes or results from using the telemedicine services.
  • Certain conditions may not be accurately diagnosed through telemedicine alone, and you may be advised to seek in-person evaluation for a more comprehensive assessment or follow-up care with the Platform’s registered Healthcare Providers.
  • 6.4 Prescription Limitations
  • The Platform’s Healthcare Providers may issue prescriptions when appropriate and legally permitted. However, certain controlled substances, narcotics, or other medications may not be prescribed through the Platform, as these require in-person consultation and are subject to specific regulations.
  • Users should follow up with their local healthcare provider or pharmacy for prescriptions that cannot be issued through the Platform.

6.5 No Liability for Third-Party Services

  • The Platform facilitates access to third-party healthcare services, including ambulance dispatch or in-home healthcare services. These third-party services are independent providers, and iClinic does not control or assume liability for their performance, availability, or outcomes. You agree to release iClinic from any liability arising from the use of third-party services arranged through the Platform.

6.6 No Warranty

  • iClinic disclaims any warranties, express or implied, regarding the telemedicine services provided, including any warranty of accuracy, reliability, completeness, or suitability for a particular purpose.
  • Use of the Platform and reliance on advice from its Healthcare Providers is at your own risk. Users are encouraged to consult in-person healthcare professionals and pursue alternative or follow-up care when recommended by a Healthcare Provider on the Platform.

 

  1. Privacy and Data Protection

iClinic (“the Platform”) values your privacy and is committed to protecting your personal and medical information in compliance with all applicable data protection laws. By using the Platform, you consent to the collection, use, and sharing of your data as outlined in this section and in our Privacy Policy. [Privacy Policy – iClinic].

 

 

 

7.1 Data Collection and Use

  • User Profile Information: When creating an account, Users provide profile information, including name, contact details, date of birth, and any other information necessary to access and use the Platform’s services. This information is used for identity verification, secure account management, and to facilitate communication with Healthcare Providers.
  • Authorized User and Business Account Information: If you are using the Platform as an Authorized User under a Business Account (e.g., through an employer or sponsoring organization), the Platform may collect your name, contact information, and business affiliation details to manage access and ensure compliance with any additional policies set by the sponsoring organization.
  • Healthcare Professional Information: Healthcare professionals registering with the Platform provide their name, qualifications, contact information, licensing details, and other necessary information required to deliver telemedicine services. This data is collected to verify credentials, ensure legal compliance, and facilitate service delivery.
  • No Collection or Storage of Medical Information: The Platform does not collect or store any medical information of Users. Video consultations and any information shared during telemedicine services are conducted directly between Users and Healthcare Providers. The Platform does not access, record, or store the content of video consultations, messages, or health details shared during these interactions.
  • Appointment Logs: For operational and regulatory purposes, the Platform only maintains logs of appointments made with Healthcare Providers, including appointment dates, times, and the identity of the Healthcare Provider. This data is stored securely and used solely for managing service records, appointment history, and compliance with applicable regulations.

7.2 Data Storage and Retention

  • Secure Storage: All personal and health data is stored securely, using industry-standard encryption and access control measures to protect it from unauthorized access, alteration, or disclosure.
  • Retention Period: The Platform retains personal information only as long as necessary to fulfil the purposes for which it was collected or as required by law. If data retention is no longer necessary, we will delete or anonymize it in compliance with applicable regulations.

7.3 Data Sharing and Disclosure

  • With Healthcare Providers: Your personal and health data is shared with Healthcare Providers on the Platform to deliver the requested telemedicine services.
  • With Third-Party Service Providers: The Platform works with third-party service providers, such as ambulance dispatch services, payment processors, and technology providers, to facilitate certain services. These providers are contractually bound to protect your information and use it only for authorized purposes.
  • Legal Requirements: We may disclose your information if required by law, such as in response to legal proceedings or if necessary to protect the rights, property, or safety of the Platform, its users, or the public.

7.4 Data Security Measures

  • Encryption: All data transmitted between you and the Platform is encrypted using secure protocols to prevent unauthorized access.
  • Access Controls: We employ strict access controls, limiting access to personal data to authorized personnel only.
  • Continuous Monitoring: Our systems undergo regular security assessments and monitoring to detect potential threats, unauthorized access, or breaches.

7.5 User Rights and Choices

  • Access and Correction: You have the right to request access to your personal data and to correct any inaccuracies. Requests can be submitted through the Platform’s user account settings or by contacting our support team.
  • Data Deletion and Portability: Subject to certain conditions, you may request the deletion of your personal data or ask to receive a copy of your information in a portable format.
  • Withdrawal of Consent: If you have provided consent for specific data processing activities, you may withdraw your consent at any time. However, withdrawing consent may impact our ability to provide certain services to you.

7.6 Children’s Privacy

  • The Platform’s services are intended for use by adults or under the supervision of a parent or guardian for minors. We do not knowingly collect or solicit personal information from children under 14 without appropriate parental consent. If we become aware that we have collected personal information from a child under 14 without verification of parental consent, we will promptly delete that information.

7.7 Changes to Privacy Practices

  • The Platform may update its privacy practices from time to time to reflect changes in technology, regulatory requirements, or service offerings. Any significant changes to data handling or privacy practices will be communicated to users in advance, allowing for review and continued use of the Platform.
  1. Telemedicine Consent

By using iClinic for telemedicine services, you consent to receive medical consultations, advice, and care from Healthcare Providers through electronic communication, including video consultations and messaging. This Telemedicine Consent outlines the nature of these services and confirms your understanding and agreement to their scope, limitations, and associated risks.

8.1 Consent to Telemedicine Services

  • Voluntary Consent: By accessing the Platform, you voluntarily consent to receive telemedicine services from Healthcare Providers and understand that these services are provided remotely, without an in-person physical examination.
  • Scope of Services: Telemedicine services include remote consultations, advice, and, where appropriate, prescriptions issued by Healthcare Providers. You understand that telemedicine may not be suitable for all medical conditions, and you agree to seek in-person care if recommended by a Healthcare Provider or when necessary for your health.

8.2 Acknowledgment of Telemedicine Limitations

  • Limited Diagnostic Capabilities: You understand that telemedicine services are limited by the inability to perform certain physical examinations, diagnostic testing, or imaging that may be critical to accurately diagnosing certain conditions. Remote consultations may result in a recommendation to seek further in-person medical care for a comprehensive assessment.
  • Potential Risks: You acknowledge that, as with any healthcare service, there may be risks associated with telemedicine. These include potential delays in evaluation, technical disruptions, or incomplete information due to communication limitations.
  • Technology Dependence: You understand that telemedicine services depend on technology, which may sometimes malfunction, experience connectivity issues, or fail. The Platform does not guarantee uninterrupted service, and you accept these potential limitations.

8.3 Privacy and Security of Telemedicine Services

  • Confidentiality of Communications: The Platform uses secure, encrypted channels for telemedicine communications to protect your privacy. However, you acknowledge that there may be some inherent risks to online communications, including potential data breaches or unauthorized access, despite reasonable security measures.
  • Consent to Use of Data: By consenting to telemedicine services, you agree that the Platform may use anonymized data from your interactions for purposes such as improving service quality, ensuring compliance, or fulfilling legal obligations. Personal health data shared during telemedicine consultations is not accessed or stored by the Platform as outlined in Section 7.

8.4 Right to Withdraw Consent

  • Withdrawal of Consent: You have the right to withdraw consent for telemedicine services at any time by discontinuing the use of the Platform or by notifying your Healthcare Provider directly. Withdrawal of consent may affect your ability to receive certain services through the Platform.

8.5 Acknowledgment of Alternatives

  • Alternative Options: You understand that telemedicine is one option for receiving healthcare services. If you do not wish to receive care via telemedicine or if telemedicine is not suitable for your condition, you may pursue in-person consultations or other healthcare services outside of the Platform.
  1. 9. Fees, Discounts, and Refund Policy

iClinic provides telemedicine services with transparent fee structures, discounts for registered and authorized business users, and a clear refund policy to ensure a seamless experience. By using the Platform, you acknowledge and agree to the terms outlined below regarding fees, discounts, and refunds.

9.1 Fees and Discounts

  • Cost per Service: The cost for each telemedicine call, in-home healthcare service, or ambulance dispatch is displayed for each Healthcare Provider on the Platform. These fees are set by the individual Healthcare Provider and may vary based on the nature and duration of the service provided.
  • Discounts for Registered and Authorized Users: Registered Users and Authorized Business Users are eligible for discounted fees on telemedicine calls compared to one-time or guest users. These discounts are automatically applied at checkout based on account status.
  • One-Time User Fees: One-time or guest users accessing the Platform without registration are charged standard, non-discounted fees for each service used.

9.2 Refund Policy

  • No Refund for Last-Minute Cancellations: If a telemedicine call is cancelled less than 2 hours before the scheduled start time, or if a call is already in progress and subsequently cancelled, no refund will be issued. This policy helps ensure that Healthcare Providers’ time is respected and available for other users in need of service.
  • Refunds for Advance Cancellations: If a telemedicine call or healthcare service is cancelled in advance (outside the specified no-refund window), Users may be eligible for a full refund. Refund requests should be made directly through the Platform’s support team, and processing times may vary based on payment method.
  • Non-Refundable Services: Fees for completed telemedicine calls, in-home healthcare services, and ambulance dispatches are non-refundable. By using the Platform, you accept responsibility for service costs once the service has commenced.

 

  1. Intellectual Property Rights

All content, features, and functionality on iClinic (“the Platform”), including but not limited to text, graphics, logos, icons, images, audio, video, software, and design elements, are the exclusive property of the Platform or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

10.1 Ownership

  • Platform Content: The Platform, its content, and its design elements are owned by iClinic LTD or its affiliates. Unauthorized use of any content from the Platform is strictly prohibited. Users do not acquire any ownership rights or intellectual property rights by accessing or using the Platform.
  • User Content: Any content, data, or information that Users provide to the Platform during their use of telemedicine services (e.g., feedback, ratings and other user-generated content) remains the property of the User. However, by submitting such content, Users grant the Platform a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, publish, and distribute that content for the purposes of providing services and improving the Platform.

10.2 Trademarks

  • Trademarks: The trademarks, logos, and service marks displayed on the Platform are registered and unregistered trademarks of iCLINIC LTD or its affiliates. Nothing contained on the Platform should be construed as granting any license or right to use any trademark without the express written consent of the owner.

10.3 Limited License

  • User License: Subject to your compliance with these Terms and Conditions, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal, non-commercial purposes. This license does not permit you to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Platform without the prior written consent of iClinic LTD.

10.4 Third-Party Content

  • Third-Party Intellectual Property: The Platform may include content, services, or links to third-party websites that may be subject to the intellectual property rights of their respective owners. iClinic LTD does not claim ownership of such third-party content and shall not be liable for any use or reliance on it. Users are responsible for reviewing the terms of use and privacy policies of third-party services.

 

 

  1. Third-Party Links and Content

The Platform may contain links to third-party websites, services, or content that are not owned or controlled by ICLINIC LTD (“the Company”). These links are provided for your convenience and informational purposes only. The Company does not endorse, guarantee, or assume responsibility for the accuracy, reliability, or availability of any third-party content, services, or websites.

11.1 Third-Party Content

  • No Responsibility: The Company is not responsible for any third-party content, including advertisements, promotions, or any information provided on those sites. Your use of third-party websites is at your own risk, and you should review the terms of service and privacy policies of any third-party websites you visit.
  • Interactions with Third Parties: Any interaction, correspondence, or business dealings you have with third-party providers accessed through the Platform are solely between you and that third party. The Company shall not be liable for any loss, damage, or claim arising from such interactions.

11.2 Caution in Use

  • User Discretion: Users should exercise caution and discretion when interacting with third-party content or services linked from the Platform. The Company does not warrant the accuracy or completeness of any information provided by third parties, and you assume full responsibility for any decisions made based on such information.
  1. Limitation of Liability

 

To the fullest extent permitted by law, iCLINIC LTD and its affiliates, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the telemedicine services provided through iClinic – Do you need a doctor? (“the Platform”). This includes, but is not limited to:

12.1 Scope of Limitation

  • Medical Diagnosis and Treatment: The Company is not responsible for any medical diagnoses, treatment outcomes, or recommendations provided by Healthcare Providers through the Platform. You acknowledge that reliance on any information obtained through telemedicine services is at your own risk, and you should always seek the advice of your physician or another qualified healthcare provider with any questions you may have regarding a medical condition.
  • Death, Injury, or Other Harm: The Company shall not be liable for any claims, losses, or damages resulting from death, injury, or other harm that may occur as a result of your use of the telemedicine services, or any actions taken based on the advice or information provided during those services.
  • Direct Damages: Any loss or damage to your property, data, or personal information resulting from your use of the telemedicine services.
  • Indirect and Consequential Damages: Any loss of profits, business opportunities, goodwill, or other intangible losses arising from your use of the telemedicine services, even if the Company was advised of the possibility of such damages.
  • Service Interruptions: Any damages arising from any temporary or permanent inability to access telemedicine services through the Platform, or any disruption in those services, regardless of the cause.

12.2 Disclaimer of Certain Damages

  • No Guarantee of Medical Outcomes: You acknowledge that the telemedicine services provided through the Platform do not guarantee any specific medical outcomes or results. The Company shall not be liable for any decisions made or actions taken based on information received through the telemedicine services.

 

  1. 13. Indemnification

You agree to indemnify, defend, and hold harmless iClinic LTD, its affiliates, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your Use of the Platform: Your access to or use of the Platform and telemedicine services, including any content you provide or actions you take while using the Platform.
  • User Content: Any content or information you submit to the Platform, including but not limited to user-generated content, feedback, or communications with Healthcare Providers.
  • Violation of Terms: Your violation of these Terms and Conditions or any applicable laws, regulations, or third-party rights.
  • Negligence or Misconduct: Any negligent, wrongful, or unlawful act or omission by you in connection with your use of the Platform.

This indemnification obligation shall survive the termination of your access to the Platform and these Terms and Conditions.

 

  1. 14. Termination of Service

14.1 Termination by the Company

iCLINIC LTD reserves the right to suspend or terminate your access to the Platform and telemedicine services at any time and for any reason, including but not limited to:

  • Violation of Terms: If you violate these Terms and Conditions or engage in conduct that is deemed harmful to other users or the Platform.
  • Compliance with Law: If required to do so by law or regulatory authority.

 

 

 

14.2 Termination by User

You may terminate your use of the Platform at any time by discontinuing access to the services.

14.3 Effects of Termination

Upon termination of your access to the Platform:

  • User Profile Information: iCLINIC LTD will retain your user profile information for a limited time, as required by applicable laws or regulations.
  • User-Generated Content: Any content or information generated during your use of the telemedicine services may be retained by the Platform in accordance with applicable laws but will not be associated with your account or used for any purpose other than compliance with legal obligations.

14.4 No Health Records Retention

You acknowledge that the Platform does not store or retain any health records or personal health information beyond the retention of user profile information and user-generated content as outlined above.

14.5 Healthcare Provider Termination

  • Termination or Deletion of Healthcare Providers: Healthcare Providers may have their access to the Platform suspended or terminated by iCLINIC LTD for violations of these Terms and Conditions, unprofessional conduct, or any behaviour deemed harmful to users or the Platform. Upon termination, all associated accounts, user profiles, and user-generated content belonging to the Healthcare Provider will be deleted from the Platform in accordance with applicable laws.
  • Responsibility for User Interaction: The Platform actively facilitates and ensures proper interaction between Healthcare Providers and users. Users are encouraged to engage with the Healthcare Providers available on the Platform, and the Company is committed to maintaining a professional standard for these interactions.
  1. Modification of These Terms

          15.1 Right to Modify

  • iCLINIC LTD reserves the right to modify these Terms and Conditions at any time and in its sole discretion. Any changes will be effective immediately upon posting the revised Terms on the Platform or notifying you through your registered email address.

 

 

 

            15.2 Notification of Changes

You agree to regularly review these Terms and Conditions for any updates or changes. Continued use of the Platform after any modifications constitute your acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease using the Platform.

15.3 Specific Modifications

In the event of significant modifications to these Terms that affect your rights or obligations, iCLINIC LTD will provide a more prominent notice on the Platform or via direct communication, such as an email.

15.4 Binding Agreement

By continuing to use the Platform after such changes have been made, you acknowledge and agree to be bound by the modified Terms and Conditions.

16.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus. By using the Platform, you consent to the jurisdiction of the courts located in the Republic of Cyprus for the resolution of any disputes arising out of or related to these Terms and Conditions or your use of the Platform.

16.2 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms and Conditions or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting iClinic LTD at info@iClinic.com.cy

 

16.3 Alternative Dispute Resolution

If the dispute cannot be resolved informally within thirty (30) days, you and iCLINIC LTD agree to engage in good faith in an alternative dispute resolution process, which may include mediation or arbitration, in accordance with the laws of the Republic of Cyprus.

16.4 Exclusive Jurisdiction

If alternative dispute resolution fails to resolve the dispute, you agree that the courts of the Republic of Cyprus in Nicosia shall have exclusive jurisdiction to adjudicate any claims or disputes arising out of or relating to these Terms or your use of the Platform.
